1. Introduction and Scope
These Product Terms and Conditions (“Terms”) govern the purchase and use of products and services offered by Mobilio Asia Pte Ltd, a company incorporated in Singapore, and its subsidiaries (collectively “Mobilio,” “we,” “us,” or “our”).
These Terms apply to:
- Custom Application Development Services – Business digitization solutions and startup MVP packages
- Third-Party Product Reselling – Licensed software, tools, and technology solutions
By engaging our services or purchasing our products, you (“Customer,” “Client,” “you”) agree to be bound by these Terms.
2. Custom Application Development Services
2.1 Service Description
Mobilio provides custom web and mobile application development services including:
- Business digitization solutions
- Module-based digital systems
2.2 Module-Based Pricing Structure
Base Package
- User Login & Profile Management (including social media integration)
- Company information with client branding and product/service catalog (up to 100 products)
- Minimum 3 modules required to start
Add-On Modules (as specified in current pricing schedule)
- Additional modules available at published rates
- Enterprise integration charged at USD 180 per man-day
- Payment gateway integration excludes third-party provider fees
2.3 Development Process
Project Initiation:
- Detailed requirements gathering and module selection
- Technical specification documentation
- Project timeline establishment (4-6 weeks standard delivery)
Development Milestones:
- 50% payment required upfront before development begins
- 50% payment due upon project completion and delivery
- Regular progress updates provided throughout development
Technology Stack:
- Web Applications: React/Next.js/Node.js
- Mobile Applications: Flutter (when applicable)
- Database: Firebase/Supabase/PostgreSQL
- Cloud deployment on secure hosting platforms
2.4 Delivery and Acceptance
Delivery Process:
- Applications deployed to agreed cloud infrastructure
- Onboarding documentation and video walkthroughs provided
- Testing period of 7 days for Client review and acceptance
Acceptance Criteria:
- Applications must meet agreed functional specifications
- Client has 7 days to report material defects
- Failure to report defects within 7 days constitutes acceptance
2.5 Intellectual Property Rights
Client-Owned Elements:
- Business-specific data, content, and branding
- Custom configurations and business logic implementations
- Domain names and third-party licenses purchased by Client
Mobilio-Retained Rights:
- Core application frameworks and development methodologies
- Reusable code components and templates
- General technical knowledge and processes
Shared Rights:
- Final application represents collaborative work
- Client receives full usage rights for their business operations
- Mobilio retains right to use general methodologies for other projects
3. Third-Party Product Reselling
3.1 Product Categories
Mobilio may resell the following categories of third-party products:
- Software licenses and subscriptions
- Cloud hosting and infrastructure services
- Development tools and platforms
- Integration services and APIs
- Analytics and business intelligence tools
3.2 Reseller Relationship
Authorization:
- Mobilio acts as an authorized reseller for specified products
- All products sold under valid vendor agreements
- Client relationship governed by both these Terms and vendor licensing agreements
Product Information:
- Product specifications provided as available from vendors
- Pricing subject to vendor terms and market conditions
- Availability and delivery timelines dependent on vendor capabilities
3.3 Third-Party Product Terms
Vendor Licensing:
- Client must comply with original vendor licensing terms
- Mobilio provides license facilitation, not primary licensing
- Direct vendor relationship established for support and compliance
Support and Maintenance:
- Level 1 support provided by Mobilio for integration issues
- Primary product support handled directly by vendors
- Mobilio assists with vendor communication and escalation
4. Payment Terms and Conditions
4.1 Custom Development Payment Terms
Payment Schedule:
- 50% deposit required before project commencement
- Remaining 50% due upon completion and delivery
- Payments accepted via bank transfer or approved electronic methods
Additional Costs:
- Third-party service fees (payment gateways, hosting) billed separately
- Additional man-day charges for scope changes at USD 180/day
- Optional monthly hosting fee of USD 200 (when applicable)
4.2 Third-Party Product Payment Terms
Payment Processing:
- Full payment required before product delivery/activation
- Pricing subject to change based on vendor rate adjustments
- Subscription renewals billed according to vendor schedules
Currency and Taxes:
- All prices quoted in USD unless otherwise specified
- Client responsible for applicable local taxes and duties
- Foreign exchange fluctuations may affect final pricing
4.3 Late Payment and Collections
- Late payment charges of 1.5% per month on overdue amounts
- Services may be suspended for accounts more than 30 days overdue
- Collection costs and legal fees recoverable from defaulting clients
5. Service Level Agreements and Support
5.1 Custom Application Support
Initial Support Period:
- 30 days of complimentary support following delivery
- Bug fixes and minor adjustments included
- Support provided during Singapore business hours
Ongoing Support Options:
- Extended support agreements available separately
- Maintenance packages for updates and enhancements
- Emergency support available at premium rates
5.2 Third-Party Product Support
Integration Support:
- Setup assistance and initial configuration
- Documentation and training materials provided
- Integration troubleshooting for 30 days post-delivery
Vendor Coordination:
- Liaison services with primary vendors
- Escalation management for critical issues
- License management and renewal coordination
6. Warranties and Disclaimers
6.1 Custom Development Warranties
Limited Warranty:
- Applications will substantially conform to agreed specifications
- 90-day warranty against material defects in workmanship
- Warranty void if Client modifies application without authorization
Warranty Exclusions:
- Third-party component failures
- Infrastructure or hosting provider issues
- Defects caused by Client misuse or unauthorized modifications
6.2 Third-Party Product Disclaimers
Reseller Capacity:
- Products sold “as is” from original vendors
- Mobilio disclaims warranties beyond vendor-provided terms
- Client’s primary recourse is through vendor warranty programs
No Additional Warranties:
- Mobilio provides no warranties beyond vendor specifications
- Compatibility and performance subject to vendor terms
- Integration success dependent on Client’s existing systems
7. Limitation of Liability
7.1 Liability Caps
Maximum Liability:
- Total liability limited to fees paid for specific project or product
- No liability for indirect, consequential, or punitive damages
- Business interruption and lost profits specifically excluded
Time Limitations:
- Claims must be brought within one year of discovery
- Warranty claims limited to stated warranty periods
- Limitation periods commence upon delivery acceptance
7.2 Force Majeure
Neither party liable for delays or failures due to:
- Natural disasters, government actions, or regulatory changes
- Vendor failures or third-party service interruptions
- Internet outages, cyber attacks, or infrastructure failures
- Pandemics, labor disputes, or other unforeseeable events
8. Data Protection and Privacy
8.1 Data Handling
Client Data:
- Client retains ownership of all business data
- Mobilio processes data only as necessary for service delivery
- Data protection governed by our Privacy Policy
Data Security:
- Industry-standard security measures implemented
- Regular security audits and compliance monitoring
- Breach notification procedures established
8.2 Data Portability
Export Capabilities:
- Client data exportable in standard formats
- Migration assistance available upon request
- Data retention policies clearly specified
9. Modification and Scope Changes
9.1 Change Requests
Process:
- Written change requests required for scope modifications
- Impact assessment provided within 5 business days
- Additional costs and timeline adjustments specified before implementation
Change Order Approval:
- Both parties must approve scope changes in writing
- Additional charges apply at standard daily rates
- Timeline extensions granted for significant scope increases
9.2 Terms Modifications
Amendment Process:
- Terms may be updated with 30 days written notice
- Material changes require explicit Client acceptance
- Continued service use constitutes acceptance of minor updates
10. Termination
10.1 Termination by Client
Convenience Termination:
- 30 days written notice required for ongoing services
- Development projects may be terminated with payment for completed work, and no refund of previous payment paid
- Third-party product subscriptions subject to vendor cancellation terms
Refund Policy:
- Completed work not subject to refund
- Unused portions of prepaid services may be refunded at Mobilio’s discretion
- Third-party product refunds governed by vendor policies
10.2 Termination by Mobilio
Cause Termination:
- Immediate termination for material breach or non-payment
- 30 days cure period for non-material breaches
- Termination for Client insolvency or bankruptcy
Effect of Termination:
- Client retains rights to completed work and purchased products
- Outstanding payments become immediately due
- Support obligations cease except as required by law
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by Singapore law without regard to conflict of law principles, unless otherwise specified and agreed in applicable Statements of Work or Purchase Orders.
11.2 Dispute Resolution
Negotiation:
- Good faith negotiation required for 30 days before formal proceedings
- Senior management involvement required for material disputes
12. General Provisions
12.1 Entire Agreement
These Terms, together with applicable Statements of Work and Purchase Orders, constitute the complete agreement between the parties.
12.2 Severability
Invalid provisions will be modified to minimum extent necessary to preserve enforceability.
12.3 Assignment
Client may not assign rights without written consent; Mobilio may assign to affiliates or successors.
